Terms of Service

1. Agreement to Terms

By accessing or using the QueryNow Compass website at compass.querynow.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site. These Terms constitute a legally binding agreement between you and QueryNow ("we," "us," or "our"), an enterprise AI and IT consulting firm headquartered in Plano, Texas.

2. Description of Services

QueryNow Compass is a suite of Microsoft 365 governance products deployed directly into your Azure subscription. The Site provides information about our products, pricing, and services. Our products include:

• Copilot Readiness Assessment
• Copilot Usage Analytics
• Copilot Audit Log Retention
• Copilot Data Access Governance
• SharePoint & Teams Analytics Retention
• M365 Provisioning Engine
• Power Platform Backup & Restore
• Sensitivity Label Assessment

All products are deployed as one-time engagements into your Azure subscription. You own and control the deployed infrastructure and all data processed by it.

3. Deployment and Ownership Model

Our deploy-and-own model means:

• All code and infrastructure are deployed into your Azure subscription
• You own and control all deployed resources after deployment is complete
• Your data never leaves your Azure tenant
• There are no recurring software licensing fees from QueryNow
• Azure infrastructure costs (typically $50-100/month) are billed directly by Microsoft to your subscription
• Optional annual support agreements are available but not required

4. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, local, or international law
• Attempt to gain unauthorized access to any portion of the Site or its related systems
• Use the Site to transmit malicious code, viruses, or harmful content
• Engage in any activity that interferes with the proper functioning of the Site
• Scrape, mine, or collect data from the Site using automated tools without our written consent
• Impersonate or misrepresent your affiliation with any person or entity

5. Intellectual Property

The Site and its original content, features, and functionality are owned by QueryNow and are protected by United States and international copyright, trademark, and other intellectual property laws. The QueryNow name, QueryNow Compass name, and associated logos are trademarks of QueryNow. You may not use our trademarks without prior written consent.

Upon deployment of Compass products into your Azure subscription, you receive a perpetual, non-exclusive license to use, modify, and operate the deployed code within your organization. This license does not extend to redistribution or resale of the products.

6. Consultation and Engagement Terms

Booking a consultation through the Site does not create a binding contract for services. Specific engagement terms, scope of work, deliverables, timelines, and payment terms will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties before any deployment work begins.

7. Pricing and Payment

Pricing displayed on the Site is indicative and subject to change. Final pricing is confirmed in the signed Statement of Work. General pricing guidelines:

• Individual products: Starting from $5,500 (one-time deployment fee)
• Product bundles and full suite: Custom pricing based on scope
• Azure infrastructure: $50-100/month (billed directly by Microsoft)
• Optional annual support: Starting from $1,500/year

8. Warranties and Disclaimers

The Site is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. QueryNow does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Product descriptions, architecture diagrams, and feature lists on the Site are for informational purposes. Specific product capabilities and configurations will be confirmed during the consultation and scoping process.

9. Limitation of Liability

To the fullest extent permitted by law, QueryNow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site. Our total liability for any claims arising from use of the Site shall not exceed the amount you paid us, if any, during the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless QueryNow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Site.

11. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by QueryNow. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. References to Microsoft, Azure, Microsoft 365, and Copilot are for descriptive purposes; these are trademarks of Microsoft Corporation.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Collin County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
